Services Provided
Circuitlabz NV provides business consulting services including but not limited to: Wise and Payoneer account setup, LLC formation, payment solutions, freight forwarding coordination, Mastercard application assistance, website and mobile app development, and related advisory services. All services are provided on an independent consulting basis. Circuitlabz NV is not affiliated with, endorsed by, or an official partner of Wise, Payoneer, PayPal, Stripe, or any financial institution or government body.
Client Responsibilities
You agree to: (a) provide accurate, complete, and truthful information at all times; (b) comply with the terms, policies, and guidelines of any third-party platform (including Wise, Payoneer, and PayPal) for which we provide setup assistance; (c) maintain the security and confidentiality of account credentials delivered to you; (d) not use our services for any unlawful, fraudulent, or deceptive purpose; (e) notify us promptly of any issues arising from services we have delivered. Failure to comply with these responsibilities releases Circuitlabz NV from any liability arising from such non-compliance.
Payment Terms
Payment for services is due as agreed at the time of engagement. All prices are in US Dollars (USD) unless otherwise stated. Service fees are non-refundable except as described in our Refund Policy. Circuitlabz NV reserves the right to withhold delivery of services until full or agreed-upon payment has been received. We reserve the right to change our pricing at any time; changes will not affect services already agreed upon and paid for.
Third-Party Platforms & No Guarantee of Approval
Circuitlabz NV acts as a consulting facilitator and cannot guarantee account approvals, transaction approvals, or the continued availability of any third-party service. Decisions made by third-party platforms (including Wise, Payoneer, PayPal, Stripe, state government offices, or financial institutions) are entirely outside our control. We make no warranties as to the outcome of any account application, LLC filing, or payment setup. Any account restriction, rejection, or closure by a third-party platform is not the responsibility of Circuitlabz NV.
Intellectual Property
All content on this website, including text, images, logos, graphics, and design, is the property of Circuitlabz NV and is protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any content on this website without explicit written permission from Circuitlabz NV. Logos, designs, and custom materials created for clients as part of a paid service package become the property of the client upon full payment.
Limitation of Liability
To the fullest extent permitted by law, Circuitlabz NV, its owners, employees, and contractors shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or related to: (a) your use of or inability to use our services; (b) decisions or actions taken by third-party platforms; (c) loss of data, revenue, or profits; (d) unauthorized access to your accounts or information due to your own negligence. Our total liability for any claim shall not exceed the amount paid by you for the specific service giving rise to the claim.
No Warranty
Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or produce a specific result. We disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement.
Confidentiality
Both parties agree to keep confidential any sensitive business information shared during the engagement. Circuitlabz NV will not sell, share, or disclose your personal or business information to third parties except as required to deliver the agreed-upon services, comply with legal obligations, or as otherwise described in our Privacy Policy.
Prohibited Use
You may not use our services or website to: (a) engage in money laundering, fraud, or any illegal financial activity; (b) violate any applicable local, national, or international law; (c) impersonate any person or entity; (d) collect or harvest personal information of others; (e) transmit malicious software or code; (f) interfere with or disrupt our website or services. We reserve the right to refuse or terminate services to any client engaging in prohibited activities without refund.
Indemnification
You agree to indemnify, defend, and hold harmless Circuitlabz NV and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising from: (a) your breach of these Terms; (b) your violation of any third-party rights or platform policies; (c) your use of services provided by Circuitlabz NV in a manner not intended or authorized.
Governing Law & Disputes
These Terms of Use are governed by the laws of Suriname. Any disputes arising out of or related to these terms or our services shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration or the competent courts of Suriname. By using our services, you consent to this jurisdiction.
Modifications to Terms
Circuitlabz NV reserves the right to update, modify, or replace these Terms of Use at any time. Changes become effective upon posting to this page.
